10. Sonstige Kommentare:

1. Am 6.8.2026 haben RAIFFEISEN-HOLDING NIEDERÖSTERREICH-WIEN registrierte
Genossenschaft m.b.H. (RHO) und RAIFFEISENLANDESBANK NIEDERÖSTERREICH-WIEN AG (RLB
NÖ-W) einen Spaltungs- und Übernahmevertrag zur Übertragung ua der Beteiligungen der
RHO auf RLB NÖ-W gem §21 GenSpaltG abgeschlossen. Am 15.10.2026 ist die
Firmenbucheintragung erfolgt und die Abspaltung wirksam geworden. Damit hat RLB NÖ-W
die direkt von RHO gehaltenen Aktien der AGRANA und die Beteiligungen der RHO an
‚ALMARA‘ Holding GmbH (ALMARA) und ‚LAREDO‘ Beteiligungs GmbH (LAREDO) erworben und
Parteistellung im Syndikatsvertrag (Punkt 10.6.) anstelle von RHO erlangt.

2. Dadurch hält RLB NÖ-W unmittelbar/mittelbar insgesamt 49.907.088 (79,87%)
Stimmrechte und hat die Schwellen von 4% bis 75% für Stimmrechte überschritten.
Gleichzeitig hat RLB NÖ-W die Schwellen von 75% bis 4% für Finanzinstrumente
unterschritten.

3. AGRANA Zucker, Stärke und Frucht Holding AG (ABH) hält (wie bisher) 48.955.088
Stück Aktien, entsprechend einem Stimmrechtsanteil von 78,34% (§ 130 Abs 1 BörseG
2018) sowie eine Call-Option zum Erwerb von 800.000 AGRANA-Aktien von Südzucker
(7.B.1.), entsprechend einem relevanten Stimmrechtsanteil von 1,28% (§ 131 Abs 1 Z 1
BörseG 2018). Der gesamte relevante Stimmrechtsanteil von ABH entspricht 79,62%.

4. Südzucker hält (wie bisher) 1.713.716 Stück Aktien, entsprechend einem
Stimmrechtsanteil aus direkt gehaltenen Aktien von 2,74% (§ 130 Abs 1 BörseG 2018),
wobei diese Aktien nicht nach dem Syndikatsvertrag (Punkt 10.6.) zugerechnet werden.
Darin enthalten sind auch die 800.000 Stück Aktien (1,28%), für deren Erwerb
Südzucker der ABH eine Call-Option eingeräumt hat (10.3.).

5. Südzucker sind über ABH und als Partei des Syndikatsvertrags (Punkt 10.6.) (§ 133
Z 1, Z 4 BörseG 2018) und über Südzucker der Süddeutsche
Zuckerrübenverwertungs-Genossenschaft eG (§ 133 Z 4 BörseG 2018) die Stimmrechte von
Südzucker und ABH zuzurechnen. Der gesamte relevante Stimmrechtsanteil entspricht
82,36% (§ 130, 131 BörseG 2018). Die Call-Option (Punkt 10.3.) bezieht sich auf von
Südzucker direkt gehaltene AGRANA-Aktien. In dem gesamten relevanten
Stimmrechtsanteil von 82,36% sind daher die von der Call-Option umfassten Aktien
doppelt gezählt. Der ‚bereinigte‘ gesamte Stimmrechtsanteil beträgt 81,08%.

6. Zwischen Südzucker und Zucker-Beteiligungsgesellschaft m.b.H. (ZBG) besteht ein
Syndikatsvertrag. Als mittelbare und unmittelbare Gesellschafter der ZBG sind RHO
(nunmehr: RLB NÖ-W) und die nun von RLB NÖ-W mittelbar und unmittelbar
kontrollierten Gesellschaften, ALMARA, Marchfelder Zuckerfabriken Gesellschaft
m.b.H. (MZ) und LEIPNIK-LUNDENBURGER INVEST Beteiligungs Aktiengesellschaft (LLI)
dem Syndikatsvertrag beigetreten. Der gesamte relevante Stimmrechtsanteil von RLB
NÖ-W entspricht 79,87% (Zurechnung und Direktanteil, siehe oben 8.); die Stimmrechte
von ABH (Punkt 10.3.) werden jeweils zugerechnet (§ 133 Z 1, 4 BörseG 2018). Der
Stimmrechtsanteil von RLB NÖ-W wird auch RHO zugerechnet (§133 Z 4 BörseG).
